Purpose of Agreement

This Service Agreement & Terms and Conditions ("Agreement") establishes the terms governing preventive maintenance services, repair services, installation services, relocation services, equipment inspections, parts procurement, technical consultation, and other related services provided by United Fitness Repair.

By approving a proposal, submitting a service request, scheduling service, authorizing work, signing a work order, accepting service, or making payment, the Customer agrees to be bound by all terms contained herein.

Services

United Fitness Repair agrees to provide commercial fitness equipment services including, but not limited to:

  • Preventive Maintenance
  • Service Repair
  • Equipment Inspection
  • Equipment Installation
  • Equipment Relocation
  • Parts Procurement
  • Technical Consultation

Specific services shall be described in proposals, work orders, estimates, service requests, invoices, preventive maintenance agreements, or other written documents issued by United Fitness Repair.

Term

This Agreement shall become effective on the Effective Date and shall remain in effect until terminated by either party upon thirty (30) days written notice unless otherwise specified in a separate service agreement.

Estimates and Proposals

All estimates, quotations, and proposals are based upon information provided by the Customer.

Additional labor, travel, equipment, materials, site conditions, access requirements, permits, utility requirements, or unforeseen circumstances may result in additional charges.

Photographs, equipment inventories, floor plans, site information, and other materials provided by the Customer are used solely for estimating purposes and do not guarantee final pricing.

Unless otherwise stated in writing, all estimates and proposals are valid for thirty (30) days from the date issued.

Scheduling

Service dates are subject to technician availability, parts availability, weather conditions, site readiness, facility access, and operational requirements.

Requested service dates are not guaranteed until confirmed by United Fitness Repair.

United Fitness Repair shall not be liable for delays caused by circumstances beyond its reasonable control.

Payment Terms

Payment is due upon completion of service unless otherwise agreed to in writing.

Invoices not paid by the stated due date may be subject to a late fee of one and one-half percent (1.5%) per month (18% annually), or the maximum rate permitted by applicable law, whichever is less.

The Customer agrees to pay all reasonable costs incurred in collecting overdue balances, including collection agency fees, court costs, filing fees, and reasonable attorney's fees where permitted by law.

United Fitness Repair reserves the right to suspend future services until all outstanding balances have been paid in full.

Preventive Maintenance Billing

Customers enrolled in a Preventive Maintenance Agreement may elect one of the following billing methods:

  • Monthly Installment Billing
  • Service-Period Billing

If no billing option is selected by the Customer, Monthly Installment Billing shall apply as the default billing method.

Customers electing Monthly Installment Billing shall receive an invoice on the first (1st) day of each month in which preventive maintenance services are scheduled to be performed. Payment shall be due within thirty (30) days of the invoice date.

Customers electing Service-Period Billing shall receive an invoice on the first (1st) day of the month in which preventive maintenance services are scheduled to be performed. Payment shall be due within thirty (30) days of the invoice date unless otherwise approved in writing by United Fitness Repair.

Preventive Maintenance services shall be performed according to the selected service frequency:

  • Monthly
  • Bi-Monthly
  • Quarterly

Monthly Program customers shall receive an invoice each month in which service is scheduled to be performed.

Bi-Monthly Program customers shall receive an invoice only during months in which service is scheduled to be performed.

Quarterly Program customers shall receive an invoice only during months in which service is scheduled to be performed.

Any changes to billing methods or service frequency must be approved in writing by United Fitness Repair.

Parts and Materials

Parts, freight, shipping charges, specialty materials, consumables, and manufacturer-supplied components are billed separately unless otherwise stated in writing.

Following diagnosis, inspection, or evaluation, United Fitness Repair will provide the Customer with an estimate for recommended replacement parts, materials, or repairs.

Upon Customer approval, the required parts shall be ordered and an invoice shall be issued.

For non-contracted customers:

  • Parts estimates exceeding $500 may require a 50% deposit before ordering.
  • Parts estimates exceeding $1,200 may require 100% payment before ordering.

For Customers covered under an active Preventive Maintenance Agreement or other contracted service agreement, approved parts shall be ordered upon estimate approval and invoiced once the parts order has been placed.

Special-order, custom-manufactured, discontinued, non-returnable, or non-refundable parts may require 100% payment in advance regardless of customer status.

Labor, travel, installation, relocation, diagnostic services, and additional work not included in the parts estimate shall be billed separately upon completion of service.

Parts remain the property of United Fitness Repair until paid in full.

Service Repair

Service repair pricing may include trip charges, labor charges, diagnostic charges, replacement parts, freight charges, and other applicable service-related costs.

Customers enrolled in an active Preventive Maintenance Agreement shall receive service benefits according to their selected maintenance program.

Customers not covered under an active Preventive Maintenance Agreement shall be billed according to United Fitness Repair's standard service rates.

Repairs authorized by the Customer are non-refundable once work has commenced.

Additional repairs discovered during service may require Customer approval before work proceeds.

Installation and Relocation Services

Installation and relocation pricing is based upon information available at the time of estimation.

Additional charges may apply due to site conditions, access limitations, stairways, elevators, carry distances, disassembly requirements, delays, or additional labor requirements.

United Fitness Repair shall exercise reasonable care during installation, assembly, disassembly, relocation, transportation, and placement of equipment.

The Customer acknowledges that minor cosmetic scratches, scuffs, marks, or normal wear may occur during the movement of large commercial fitness equipment despite reasonable care being exercised.

United Fitness Repair shall not be responsible for damages resulting from concealed defects, inadequate access, building limitations, customer-provided transportation, undisclosed site conditions, manufacturer defects, equipment deterioration, or other conditions beyond its reasonable control.

Unless specifically included in the proposal, United Fitness Repair is not responsible for electrical work, plumbing work, flooring repairs, wall repairs, painting, permits, crane services, rigging services, structural modifications, or third-party contractor services.

Damage claims must be submitted in writing within seventy-two (72) hours of project completion.

Warehouse Receiving, Staging & Storage

United Fitness Repair may accept delivery of customer equipment at its warehouse prior to installation, relocation, or scheduled delivery.

Receiving & Staging Services

Receiving and staging fees are assessed upon receipt of equipment and include:

  • Freight acceptance
  • Visual inspection for shipping damage
  • Inventory verification
  • Warehouse handling
  • Equipment staging
  • Preparation for delivery or installation
  • Loading equipment onto installation vehicles

Receiving and staging fees are billed as follows:

  • Large Pallet: $75 each
  • XL Pallet: $100 each
  • XXL Pallet: $125 each

Pallet classifications are determined by United Fitness Repair based on equipment size, footprint, handling requirements, and warehouse space occupied.

Included Storage Period

The first thirty (30) calendar days of storage are included with the receiving and staging fee at no additional charge.

Storage Charges

Equipment remaining in storage beyond the initial thirty (30) calendar day period will be subject to monthly storage fees as follows:

  • Large Pallet: $25 per month
  • XL Pallet: $50 per month
  • XXL Pallet: $75 per month

Storage fees are billed monthly and continue until the equipment is delivered, installed, removed, or otherwise released by the customer.

Delayed Installations

If an installation, relocation, construction project, facility opening, or other project delay results in equipment remaining in storage beyond the included thirty (30) day period, applicable storage fees shall remain the responsibility of the customer.

Abandoned Equipment

Equipment remaining in storage for more than ninety (90) days without communication, payment, delivery scheduling, or written arrangements may be considered abandoned property to the fullest extent permitted by law. United Fitness Repair reserves the right to assess additional storage fees, refuse further storage, or pursue available remedies for recovery of unpaid charges.

Limitation of Liability

While reasonable care will be exercised in handling and storing customer equipment, United Fitness Repair shall not be responsible for concealed shipping damage, manufacturer packaging deficiencies, acts of God, theft, fire, flood, or other circumstances beyond its reasonable control.

Warranty

United Fitness Repair warrants labor performed for thirty (30) days from the service completion date against defects in workmanship only.

This warranty does not cover:

  • Normal wear and tear
  • Abuse or misuse
  • Improper operation
  • Lack of maintenance
  • Environmental conditions
  • Vandalism
  • Manufacturer defects
  • Failures unrelated to the original repair

Replacement parts are subject solely to the manufacturer's warranty, if any.

Customer Responsibilities

The Customer shall provide safe access to equipment and maintain a safe work environment.

The Customer shall provide accurate equipment, facility, and site information.

Additional charges may apply for delays caused by restricted access, customer-caused delays, inaccurate information, or unsafe conditions.

Limitation of Liability

To the fullest extent permitted by law, United Fitness Repair's liability shall not exceed the amount paid for the specific services giving rise to the claim.

United Fitness Repair shall not be liable for indirect, incidental, special, punitive, consequential damages, lost profits, loss of revenue, business interruption, or equipment downtime.

Force Majeure

United Fitness Repair shall not be responsible for delays or failures caused by events beyond its reasonable control.

Collections

Accounts remaining unpaid beyond thirty (30) days may be referred to a collection agency, legal counsel, or other recovery service.

The Customer shall be responsible for all reasonable collection costs, court costs, filing fees, and attorney's fees where permitted by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California.
